By downloading, installing, or using Sonicribe ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not download, install, or use the Software.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Sonicribe ("we," "us," or "our") regarding your use of the Software.

Subject to your compliance with these Terms and payment of the applicable license fee ($79 USD one-time purchase), we grant you a:

• Perpetual license to use the Software indefinitely
• Non-exclusive license that does not prevent us from licensing the Software to others
• Non-transferable license that cannot be sold, assigned, or transferred to any third party
• Personal use license for your individual or business use on devices you own or control

Your license allows you to install and use Sonicribe on up to three (3) devices that you personally own or control, provided that you are the primary user of all such devices.

You agree not to:

• Copy, modify, or distribute the Software except as expressly permitted
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Redistribute, sublicense, rent, lease, or lend the Software to any third party
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
• Use the Software for any unlawful purpose or in violation of any applicable laws
• Circumvent or attempt to circumvent any license verification or copy protection measures
• Use the Software in any manner that could damage, disable, or impair the Software

Purchase Price: Sonicribe is available for a one-time purchase price of $79 USD. This is a perpetual license with no recurring subscription fees.

14-Day Money-Back Guarantee: We offer a 14-day money-back guarantee from the date of purchase. If you are not satisfied with Sonicribe for any reason, you may request a full refund within 14 days of your purchase date by contacting us at support@superscribe.app.

Refund Process: Refund requests must include your order number and the email address used for purchase. Refunds will be processed within 5-7 business days and returned to the original payment method.

After the Refund Period: Refunds are not available after the 14-day period has elapsed, except where required by applicable law.

Sonicribe and all related trademarks, logos, and brand elements are the exclusive property of Sonicribe. The Software, including but not limited to its code, design, graphics, user interface, and documentation, is protected by copyright, trademark, and other intellectual property laws.

Your purchase of a license does not grant you any ownership rights in the Software. You acknowledge that the Software contains valuable trade secrets and proprietary information belonging to us.

Sonicribe utilizes OpenAI's Whisper model for speech recognition, which is used under its respective open-source license. All third-party components are used in compliance with their respective licenses.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Software will meet your specific requirements or expectations
• The Software will be uninterrupted, timely, secure, or error-free
• The transcription results will be 100% accurate in all circumstances
• Any errors in the Software will be corrected

Speech-to-text accuracy may vary based on factors including but not limited to: audio quality, background noise, accents, speaking speed, technical vocabulary, and hardware capabilities.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUPERSCRIBE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Software
• Any conduct or content of any third party
• Any content obtained from the Software
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for any claims arising from or related to these Terms or your use of the Software shall not exceed the amount you paid for the Software license ($79 USD).

Your license to use the Software is effective until terminated. We may terminate your license immediately and without notice if you breach any provision of these Terms.

Upon termination, you must:

• Cease all use of the Software
• Delete or destroy all copies of the Software in your possession
• Remove the Software from all devices on which it is installed

Sections 5 (Intellectual Property), 6 (Disclaimer of Warranties), 7 (Limitation of Liability), and 9 (Governing Law) shall survive any termination of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or your use of the Software shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last updated" date at the top of this page.

Your continued use of the Software after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue use of the Software.
